1. About these terms

These terms of service (the "terms") govern access to and use of daas, a data-as-a-service offering available at daas.serenodata.com and through the API at api.daas.serenodata.com (together, the "service"). The service is operated by Sereno, a société par actions simplifiée registered in France under RCS Paris 928 379 957, whose registered office is at 49 rue de l'Amiral Mouchez, 75013 Paris, France ("Sereno", "we", "us").

By creating an account, accepting these terms at sign-up or using the service, the customer agrees to be bound by them. Anyone accepting on behalf of an organisation confirms they are authorised to bind it.

2. Definitions

  • "customer": the business entity that holds the account.
  • "space": the customer's self-serve dashboard, where API keys, usage, team, settings and subscription are managed.
  • "API key": the secret credential used to authenticate requests to the API.
  • "datapoint": one weather parameter, at one location, for one timestamp. The datapoint is the billable unit of the service.
  • "allowance": the approximate monthly volume of datapoints included in a subscription plan.
  • "credits": prepaid datapoints purchased on a pay-as-you-go basis.
  • "data": the meteorological and atmospheric data made available through the service.
  • "plan": a subscription tier or the pay-per-credit option, as described on the pricing page or agreed in writing.
  • "documentation": the technical and product documentation published for the service.

3. The service

daas delivers weather and atmospheric data through a hosted REST API. The customer authenticates with an API key and queries datapoints programmatically; responses are returned in columnar JSON. Access is instant and fully digital; no physical goods are supplied.

The datasets, models, parameters and geographic coverage available at any given time are described in the documentation and may evolve as set out in section 11. The service is provided on a self-service basis through the space.

4. Eligibility

The service is offered exclusively to businesses, public bodies and professionals acting for purposes relating to their trade, business, craft or profession. It is not offered to consumers, and consumer-protection rules, including statutory withdrawal rights, do not apply. The customer must provide accurate registration information and keep it up to date.

5. Accounts and API-key security

The customer is responsible for its account, for the people it allows to use the space, and for all activity carried out with its API keys. API keys are confidential credentials: the customer must store them securely, must not publish them or share them outside its organisation, and should rotate them periodically. Keys can be created, rotated and revoked in the space, and may carry an expiry date shown there.

The customer must notify Sereno without undue delay at security-daas@serenorisks.com if it suspects a key or the account has been compromised. Sereno may revoke or rotate keys where reasonably necessary for security.

6. Acceptable use, quotas and request limits

The customer must use the service lawfully and must not: (a) interfere with or disrupt the service or its infrastructure; (b) circumvent or attempt to circumvent authentication, metering, quotas or rate limits; (c) probe or test the security of the service without Sereno's prior written consent; (d) use the service to build or feed a raw-data product that substitutes for it, as detailed in section 7; or (e) use another customer's credentials.

Each request may return up to 100,000 datapoints. Each subscription plan includes a monthly allowance. Usage up to 5% above the allowance is tolerated at no extra charge and is not treated as a breach. Usage beyond that grace band is drawn from the customer's prepaid credits where available; otherwise further requests are rejected until the next monthly period or a credit purchase. Requests are authorised on the number of datapoints they request and billed on the number effectively returned; a request whose requested volume exceeds the remaining capacity is rejected in full.

Sereno may apply reasonable technical limits, such as rate limits, to protect the integrity and fair use of the platform.

7. Data licence

Subject to these terms and payment of the applicable fees, Sereno grants the customer a non-exclusive, non-transferable licence, for the duration of its access to the service, to: (a) query, retrieve and store the data; (b) process and analyse it internally; (c) create derived works, analytics, features and visualisations from it; and (d) display and distribute the data and derived outputs to the customer's own end users as an integrated part of the customer's products and services.

The customer must not: resell, sublicense, publish or redistribute the raw data, in bulk or as a standalone dataset, feed or API; make raw data available in a way that substitutes for or competes with the service; or remove or obscure any required notices. Where upstream data providers require attribution or impose licence conditions, the customer must comply with them as indicated in the documentation.

Data lawfully retrieved and already incorporated into the customer's products or analyses before termination may continue to be used within them after termination, under the same restrictions.

8. Plans, fees, credits and payment

Prices are those published on the pricing page or agreed in writing, and exclude VAT and any other applicable taxes, which are added at the applicable rate. Payments are processed by Stripe: recurring checkout for subscriptions, one-off checkout for credit purchases.

Subscriptions run monthly or annually and renew automatically for successive periods of the same duration, unless the customer cancels before the renewal date; cancellation takes effect at the end of the current period. Credits are one-time purchases, never expire and are usable while the account is active.

Every new customer receives a welcome gift of 24,000 datapoints. The gift is promotional, has no cash value and is non-transferable; the offer may be changed or withdrawn for future sign-ups.

Sereno may change its prices with at least 30 days' notice; for subscriptions, changes take effect at the next renewal, and the customer may cancel before then. In case of late payment, Sereno may suspend access after notice, and late-payment interest and recovery costs apply as provided by French law for business-to-business transactions.

9. Refunds

The service is business-to-business and access is delivered instantly in digital form; statutory consumer withdrawal rights do not apply. Every new account starts with a welcome gift of 24,000 datapoints, and pay-as-you-go credits allow the service to be evaluated at low commitment before any subscription is taken out; fees are therefore firm. Subscription periods that have started are due in full and are not refunded pro rata. Credits are non-refundable, except as provided in section 13, and never expire. Sereno will correct documented billing errors, and nothing in this section limits rights that cannot be excluded under applicable law.

10. Data disclaimer

The data is provided "as is" and "as available". Meteorological and atmospheric data, whether observed, modelled or derived, is by nature uncertain and may contain errors, gaps, approximations or delays. Model outputs are estimates, not measurements or guarantees of actual conditions. To the fullest extent permitted by law, Sereno makes no warranty, express or implied, as to the accuracy, completeness, timeliness, continuity of supply or fitness of the data for any particular purpose.

The customer is solely responsible for its use of the data, for any decision, action or omission based on it, and for how the data is presented within its own products. The service is not designed to be, and must not be relied on as, the sole basis for decisions affecting human safety, and it does not replace official warnings issued by national meteorological or civil-protection authorities.

11. Availability, support and changes to the service

Sereno makes reasonable efforts to keep the service available and to announce planned maintenance, but no service levels are committed under these terms. Support is provided on a reasonable-efforts basis via support-daas@serenorisks.com.

Sereno may add, modify or retire datasets, models, parameters and features. Where a change materially reduces the service the customer pays for, Sereno gives at least 30 days' notice where practicable, and the customer may cancel with effect from the change.

12. Suspension

Sereno may suspend all or part of the customer's access, with notice where practicable, where: there is a serious security risk; the customer materially breaches these terms, including the acceptable-use rules and the data licence; invoices remain unpaid after reminder; or suspension is required by law. Suspension is lifted once its cause is resolved.

13. Term and termination

These terms apply for as long as the customer holds an account. The customer may close its account at any time from the space or by written notice; any current subscription period runs to its end. Sereno may terminate for material breach not cured within 15 days of notice, or immediately in case of serious breach, and may discontinue the service with at least 90 days' notice.

On termination, API keys are revoked and access to the space ends. Unused credits are forfeited where the customer closes its account or where Sereno terminates for the customer's breach; where Sereno terminates without cause or discontinues the service, unused purchased credits are refunded at their purchase price (promotional datapoints, including the welcome gift, have no cash value and are not refunded). Sections 7 (as stated there), 10, 14, 15, 19 and 20 survive termination.

14. Limitation of liability

Neither party is liable for indirect or consequential losses, including loss of profits, revenue, business, data or goodwill. Sereno's total aggregate liability arising out of or in connection with the service is capped at the amounts paid by the customer for the service during the twelve months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under French law, including in cases of wilful misconduct or gross negligence.

15. Intellectual property

The service, the software, the API, the documentation, and the Sereno and daas names and marks remain the property of Sereno and its licensors. No rights are granted other than those expressly set out in these terms. The customer grants Sereno a free, non-exclusive licence to use feedback it chooses to provide, for the purpose of improving the service.

16. Personal data

The processing of personal data related to accounts and use of the service is described in the privacy policy. Each party complies with the data-protection law applicable to it.

17. Changes to these terms

Sereno may update these terms. Material changes are notified at least 30 days before they take effect, by email or in the space. Continued use of the service after the effective date constitutes acceptance; a customer who does not accept may close its account before that date.

18. Miscellaneous

These terms, together with the pricing page and any written order, form the entire agreement between the parties regarding the service. If a provision is held invalid, the remainder stays in force. A failure to enforce a right is not a waiver. The customer may not assign these terms without Sereno's consent; Sereno may assign them to an affiliate or a successor. Neither party is liable for a failure caused by events beyond its reasonable control. Sereno may use subcontractors and remains responsible for them. The language of these terms and of the contractual relationship between the parties is English; any translation that may be provided is for convenience only, and the English version prevails.

19. Governing law and jurisdiction

These terms are governed by French law. Any dispute relating to their validity, interpretation or performance falls under the exclusive jurisdiction of the competent courts of Paris, France, including for interim proceedings and notwithstanding multiple defendants or third-party claims.
